Registration of a change in particulars

General partners must update ACRA within 14 days of any changes to LP information. This includes changes to:

  • Appointed partners or managers.

  • Partner or manager details (except residential addresses).

  • Registered office address.

Otherwise, penalties for late lodgement apply.

Note: Former partners or local managers can file if they believe no general partner will do so.

Cessation of business

General partners are responsible for notifying ACRA when the LP's status changes:

Bankruptcy restriction for managers

Managers cannot be an undischarged bankrupt (unless approved by the High Court or Official Assignee).

Acting as an LP manager without approval may be an offence.

Penalty: Fine up to $10,000, imprisonment up to two years, or both.
